Terms of Service

1. Who can use Butter

Butter is a business-to-business service. You must be at least 18, able to form a binding contract, and acting on behalf of a business you're authorized to represent to create a provider account or submit buyer interest. Provider accounts require a work email — we don't knowingly open accounts for personal or consumer use.

2. What Butter does

Butter helps businesses (“providers”) collect their own operational data using the Butter Kit, manage that data in a data portal, and list it for interested buyers, such as frontier and neo robotics labs. Butter facilitates discovery and introductions between providers and buyers; unless we say otherwise for a specific transaction, the license or sale of any dataset is an agreement between the provider and the buyer, and Butter is not a party to it.

3. Accounts

You're responsible for the accuracy of the information you give us, for keeping your login credentials confidential, and for all activity under your account. Tell us right away at support@trybutter.ai if you suspect unauthorized use.

4. Provider responsibilities

As a provider listing data on Butter, you represent and warrant that:

• You own the data you upload, or otherwise have the legal right to collect, use, and license it.
• Your collection of the data complied with applicable law, including any notice or consent required for people captured in it.
• Your listing description is accurate and not misleading about what the dataset contains.
• You will honor any deletion, access, or opt-out request that applies to personal data within your dataset, as described in our Privacy Policy.

5. Buyer responsibilities

Submitting interest in a listing does not by itself grant you any rights to a dataset. Access to and use of licensed data is governed by the license terms you agree to directly with the provider. You agree to use any data you obtain through Butter only as permitted by that license, and not to misrepresent your organization or intended use when submitting interest.

6. The Butter Kit

Butter Kit purchases are processed through Stripe and are subject to the price, shipping, and credit-back terms shown at checkout. Credit-back amounts are earned against qualified data collection hours as described in the product pages at the time of purchase; we may update those terms prospectively for future orders, but not retroactively for an order already placed.

7. Fees

Some marketplace activity may be subject to fees, which we'll disclose before you incur them. Butter Kit prices are shown at checkout and charged at time of purchase. Except where required by law or stated otherwise, fees and Butter Kit purchases are non-refundable once the order is fulfilled.

8. Intellectual property

Butter owns the Service itself — the site, portal, branding, and software — and grants you a limited, non-exclusive, non-transferable license to use it in accordance with these terms. Providers retain all ownership rights in the data they upload; listing a dataset on Butter does not transfer ownership to us, and we use it only to operate your listing.

9. Prohibited conduct

You agree not to:

• Upload data you don't have the right to collect, use, or license.
• Misrepresent your identity, business, or authority to act on a business's behalf.
• Interfere with, reverse engineer, or attempt to bypass the security of the Service.
• Use the Service to violate any applicable law or another party's rights.

10. Disclaimers

The Service is provided “as is” without warranties of any kind, express or implied. Butter does not warrant that datasets listed by providers are accurate, complete, or fit for any particular purpose — buyers are responsible for evaluating any dataset before relying on it.

11. Limitation of liability

To the fullest extent permitted by law, Butter will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits or data, arising from your use of the Service. Our total liability for any claim arising from these terms or the Service is limited to the amount you paid us in the twelve months before the claim arose.

12. Indemnification

You agree to indemnify and hold Butter harmless from claims arising from your breach of these terms, your data listings, or your misuse of the Service.

13. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access to the Service for any account that violates these terms, poses a security or legal risk, or is inactive for an extended period, with notice where practicable.

14. Changes to these terms

We may update these terms as the Service evolves. We'll update the “last updated” date above, and for material changes, we'll take reasonable steps to notify active accounts. Continued use of the Service after changes take effect means you accept the updated terms.

15. Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, and any dispute not otherwise resolved will be brought in the state or federal courts located in Delaware.
